ARTIKEL 1. ALGEMENE BEPALINGEN

1. Definities

 

• Maggie’s Melody BV: is een organisatie onder leiding van Magalie Gelin, die zich inzet om mensen te leren zingen en mensen samen te brengen die een passie hebben voor zingen en samen zingen. De focus ligt aldus op zang.  De hoofdactiviteiten kunnen ondergebracht worden in deze vijf (5) pijlers: 

• popkoor;

• online coachings en cursussen inzake zang en stemgebruik;

• privé zanglessen en zanglessen in groep met fysieke aanwezigheid;

• lidmaatschap Singing Insiders, zijnde een exclusieve online community voor mensen die gepassioneerd zijn door zang;

• organisatie publieke evenementen in deze context.

• Lid/Klant: de natuurlijke of rechtspersoon die lid wordt van de ‘Singing Insiders Community’ en/of overige diensten (zoals hierboven vermeld) afneemt van Maggie’s Melody en/of een bestelling plaatst via haar webwinkel;

 

• Consument: de natuurlijke persoon die niet handelt voor doeleinden die verband houden met zijn/haar handels-, bedrijfs-, ambachts- of beroepsactiviteit;

 

• Dienst op afstand: de levering van een dienst waarbij tot en met het sluiten van de overeenkomst uitsluitend gebruik gemaakt wordt van één of meer technieken voor communicatie op afstand (via internet of telefoon ed.), dus zonder de gelijktijdige fysieke aanwezigheid van de onderneming en de consument.

 

• Dag: kalenderdag;

 

2. Toepassing

Onderhavige Algemene Voorwaarden zijn bij voorrang van toepassing op elke dienstverlening van Maggie’s Melody, ongeacht de algemene voorwaarden van de dienstafnemer (hierna: “de Klant”). Samen met individuele schriftelijke overeenkomst met betrekking tot de welbepaalde dienst (hierna: “de Overeenkomst dienstverlening”), bepalen zij de contractuele relatie tussen partijen. 

3. Aanvaarding

De Klant verklaart uitdrukkelijk en voorafgaand aan de sluiting van de overeenkomst tussen partijen kennis te hebben genomen van deze Algemene Voorwaarden, deze gelezen en begrepen te hebben en deze te aanvaarden.

De Klant verklaart verder dat de clausules in onderhavige algemene voorwaarden niet kennelijk onevenwichtig zijn en de werkelijke wil van partijen weergeven.

4. Wijziging 

Maggie’s Melody behoudt zich het recht voor deze Algemene Voorwaarden op elk ogenblik éénzijdig te wijzigen of aan te vullen. 

De gewijzigde voorwaarden zullen dan automatisch van toepassing zijn op iedere navolgende overeenkomst.

5. Ongeldigheid clausule 

De ongeldigheid van één of meerdere clausules van deze Algemene Voorwaarden tast de geldigheid en afdwingbaarheid van de overige clausules niet aan. De andere bepalingen blijven derhalve volledig van toepassing.

De ongeldige bepaling wordt vervangen door een geldige bepaling die zo goed mogelijk de intentie van de partijen benadert. 

6. Afstand

Het nalaten op gelijk welk moment door Maggie’s Melody om één van de in deze Algemene Voorwaarden opgenomen rechten af te dwingen, of gelijk welk recht hiervan uit te oefenen, zal nooit gezien worden als een verzaking aan zulke bepalingen en zal nooit de geldigheid van deze rechten aantasten. 

 

ARTIKEL 2. TOTSTANDKOMING OVEREENKOMST

2.1. Aanbieding 

Alle aanbiedingen - zowel deze opgenomen in de Overeenkomst dienstverlening als deze vermeld op de websites van Maggie’s Melody - bevatten een volledige nauwkeurige beschrijving van de aangeboden diensten en zijn voldoende gedetailleerd om een goede beoordeling van het aanbod door Maggie’s Melody mogelijk te maken. 

Maggie’s Melody kan evenwel niet aan haar aanbiedingen gehouden zijn indien de klant redelijkerwijs kan begrijpen dat de aanbieding, dan wel een onderdeel ervan, een kennelijke vergissing of verschrijving bevat of niet up-to-date is.

2.2. Totstandkoming overeenkomst

Door het (online) invullen van het inschrijfformulier en/of het ondertekenen van de Overeenkomst dienstverlening en uitvoering van de gevraagde betaling komt op definitieve en onherroepelijke wijze een overeenkomst met Maggie’s Melody tot stand, ongeacht welkdanige eerdere correspondentie en ongeacht enige andere voorwaarden of documenten van welke aard ook vanwege de klant.

Partijen komen uitdrukkelijk overeen dat de inschrijving en/of de afsluiting van de overeenkomst elektronisch (digitaal) kan gebeuren, zelfs in de afwezigheid van een handtekening.

 

ARTIKEL 3. PRIJS EN BETALING 

3.1. Prijs

De totaalprijs voor de gekozen dienst wordt duidelijk vermeld op de Overeenkomst dienstverlening of op het inschrijvingsformulier op de website.

Alle prijzen vermeld in de aanbiedingen zijn uitgedrukt in euro, met vermelding van de BTW en eventuele andere heffingen welke van overheidswege opgelegd worden.

Overeenkomstig artikel 57 van de Wet van 30 maart 1976 betreffende economische herstelmaatregelen, is Maggie’s Melody gerechtigd de prijs eenzijdig te herzien indien de kosten van de dienst aanzienlijk zijn verhoogd door omstandigheden buiten haar wil en/of door omstandigheden waarmee zij ten tijde van het sluiten van de overeenkomst redelijkerwijs geen rekening kon houden of behoorde te houden. Zo kan Maggie’s Melody de prijs herzien op grond van volgende motieven:

• algemene prijsindexatie;

• prijsstijging externe partners of externe leveranciers;

• wanneer overige elementen die de prijs bepalen, zoals niet limitatief: belastingen, heffingen, devaluaties, transportkosten, loonkosten en/of brandstofkosten, grondstof, energie- en verwerkingsprijzen, gewijzigd worden en zorgen voor een aanzienlijke prijsverhoging.

3.2. Betaling

Diensten besteld via de website(s) zijn online betaalbaar door middel van één van de volgende betaalmethoden, evenwel afhankelijk van de te verlenen dienst : 

• kredietkaart (Visa of Mastercard);

• bancontact;

• IDeal;

• Apple Pay;

• Stripe; 

• Paypal;

• overschrijving.

Diensten besteld via de Overeenkomst dienstverlening zijn betaalbaar volgens de modaliteiten zoals vervat in de Overeenkomst Dienstverlening. Facturen zijn – behoudens afwijkende regeling opgenomen in de Overeenkomst – betaalbaar binnen de veertien (14) dagen na factuurdatum onder vermelding van het factuurnummer.

 

ARTIKEL 4. ANNULATIEBELEID – VÓÓR DE AANVANG VAN DE DIENST

4.1. Annulatie door de klant

Naargelang de aard en de modaliteiten van de gekozen dienst, zijn volgende annulatievoorwaarden van toepassing: 

4.1.1. Online diensten – herroepingsrecht/bedenktijd consument: 

Opgelet! Deze paragraaf is enkel van toepassing op klanten in hun hoedanigheid van consumenten (natuurlijke personen).

De consument kan een overeenkomst met betrekking tot de levering  van een dienst op afstand gedurende een bedenktijd van veertien (14) dagen zonder opgave van redenen en zonder betaling van een boete ontbinden. Voormelde termijn gaat in vanaf het invullen van het inschrijfformulier en navolgende betaling, waardoor de overeenkomst tot stand komt.

Als de klant gebruik wenst te maken van zijn/haar herroepingsrecht, meldt hij/zij dit binnen voormelde bedenktermijn op een ondubbelzinnige wijze aan Maggie’s Melody. Maggie’s Melody vergoedt de door de klant gedane betaling, onverwijld doch binnen de veertien (14) dagen volgend op de dag waarop klant de herroeping heeft gemeld.

Evenwel is voormeld herroepingsrecht NIET van toepassing: 

• indien de dienst reeds uitgevoerd is voor het verstrijken van de herroepingstermijn (vb.: door het onmiddellijk toegang krijgen tot de online workshop of cursus) (conform artikel VI.53, 1° van het Wetboek Economisch Recht); 

• indien het gaat om een dienst van vrijetijdsbesteding, waarvoor in de overeenkomst een welbepaalde datum of een welbepaalde uitvoeringsperiode wordt bepaald (vb.: reservatie tickets voor een bepaald evenement, inschrijving voor een online zangworkshop voorzien op een bepaalde datum (conform artikel VI.53, 12° van het Wetboek Economisch Recht);

• indien het gaat om op vraag van de consument op maat ontwikkelde diensten (vb. op maat uitgewerkte zangles) (conform artikel 53, 3° van het Wetboek Economisch Recht);

 

4.1.2.  Algemeen annulatiebeleid 

Indien de bepalingen van paragraaf 4.1.1. niet van toepassing zijn, geldt volgend algemeen annulatiebeleid:

De klant heeft het recht ten allen tijde de inschrijving voor een bepaalde dienst te annuleren. Dit dient schriftelijk te gebeuren. Indien de klant gebruik maakt van dit recht, dan wordt de overeenkomst geacht eenzijdig te zijn verbroken door hem/haar.

In geval van eenzijdige verbreking zijn volgende annulatievergoedingen van rechtswege en zonder ingebrekestelling verschuldigd:

• In geval van annulatie meer dan veertien (14) dagen vóór de datum van de aanvang van de dienst: de vergoeding bedraagt 25% van het te betalen bedrag in het kader van de overeenkomst;

• In geval van annulatie minder dan veertien (14) kalenderdagen en meer dan achtenveertig (48) uren vóór de datum van de aanvang van de dienst: de vergoeding bedraagt 50% van het te betalen bedrag in het kader van de overeenkomst;

• In geval van annulatie minder dan achtenveertig (48) uur vóór de datum van de aanvang van de dienst: de vergoeding bedraagt de integraliteit (100%) van het te betalen bedrag in het kader van de overeenkomst;

• In geval van annulatie van webgebaseerde producten na ontvangst van de toegangslink: de vergoeding bedraagt de integraliteit (100%) van het te betalen bedrag in het kader van de overeenkomst.

De klant erkent dat bij de bepaling van voormelde vergoedingen rekening werd gehouden met de gevolgen van de annulatie voor Maggie’s Melody (reeds gemaakte kosten en geleverde inspanningen) en dat deze vergoeding bijgevolg evenwichtig is ten aanzien van de partijen.

In geval van overmacht (ziekte of gerechtvaardigde verhindering) en indien het een deelname aan een evenement/workshop betreft, kunnen partijen in onderling overleg evenwel het volgende overeenkomen: de niet-deelnemer kan eenmalig en uitsluitend in geval van overmacht, duidelijk aantoonbaar, zijn deelname aan een evenement/workshop verplaatsen naar een andere datum. Uiteraard is dit enkel mogelijk indien dezelfde dienst nogmaals wordt aangeboden door Maggie’s Melody. Is dit niet het geval dan kan de niet-deelnemer eventueel zijn/haar inschrijving voor een bepaald(e) evenement of workshop doorgeven aan een andere persoon, mits hij/zij dit minstens vierentwintig (24) uur op voorhand meldt aan Maggie’s Melody. Maggie’s Melody is alsdan gerechtigd een administratieve kost aan te rekenen, overeenstemmend met 10% van het inschrijvingsgeld, met een minimum van 10 euro (€ 10,00).

4.2.  Annulatie door Maggie’s Melody

 

Maggie’s Melody is gerechtigd de uitvoeringstermijn die contractueel voorzien werd op te schuiven, zonder dat dit recht zal geven op enige schadevergoeding in hoofde van de klant of zonder dat de klant hiervoor recht heeft op terugbetaling van de door hem/haar betaalde prijs. De klant zal aldus op een later tijdstip kunnen deelnemen aan de door Maggie’s Melody georganiseerde dienst.

Indien – omwille van de aard van de dienst – een verdaging niet mogelijk is, zal het aan Maggie’s Melody reeds betaalde bedrag integraal teruggestort worden binnen de veertien (14) dagen, behoudens in geval van overmacht. 

 

ARTIKEL 5. LEVERING DIENST

5.1. online dienstverlening: online coaching en cursussen – lidmaatschap online community

Voor webgebaseerde producten zal de toegangslink pas ter beschikking worden gesteld na betaling van het volledige bedrag in het kader van de overeenkomst, behoudens wanneer een betaling in meerdere termijnen is toegelaten door Maggie’s Melody. 

Om lid te worden van de SI Community en/of overige diensten af te nemen van Maggie’s Melody dient het lid/de klant minimum 18 jaar oud te zijn of de toestemming te hebben van zijn wettelijke voogd. Het is het lid/de klant verboden om gebruik te maken van andermans identiteit. Een inschrijving is maar geldig indien deze naar waarheid is ingevuld. Het komt niet aan Maggie’s Melody toe dit te verifiëren. Maggie’s Melody is dan ook gevrijwaard van elke aansprakelijkheid op dit punt.

Deze link voor de coaching/cursus, ook wanneer het verschillende modules betreffen, is minimaal voor één (1) jaar geldig. De klant kan deze aldus op een vrij gekozen moment volgen. 

Maggie’s Melody behoudt zich het recht voor om de coaching/cursus inhoudelijk of organisatorisch aan te passen, wanneer de omstandigheden daar om vragen en Maggie’s Melody dit aangewezen acht.

Met betrekking tot het lidmaatschap voor de Siniging Insiders Community, zal dit maar een aanvang nemen en zal het lidgeld maar verschuldigd zijn, van zodra de klant zich effectief heeft kunnen inschrijven hiervoor. Indien bij de aanmelding blijkt dat de community volzet is, zal de klant op een wachtlijst geplaatst worden. Dit impliceert dat er op dat ogenblik nog geen overeenkomst gesloten is en partijen er aldus ook geen rechten en plichten uit kunnen putten.

5.2. overige dienstverlening (in fysieke aanwezigheid):

Behoudens onderlinge andersluidende afspraken, vat Maggie’s Melody haar dienstverlening pas aan na ontvangst van het volledige bedrag in het kader van de overeenkomst.

Maggie’s Melody levert voldoende inspanningen om de tussen partijen bedongen leveringstermijnen van de dienst na te leven. Zij gaat een middelenverbintenis aan om haar dienstverlening met zorg en deskundigheid uit te voeren.

Maggie’s Melody behoudt zich het recht voor om de zangles inhoudelijk of organisatorisch aan te passen, wanneer de omstandigheden daar om vragen en Maggie’s Melody dit aangewezen acht.

 

ARTIKEL 6: CONTRACTUELE TEKORTKOMINGEN TIJDENS DE UITVOERING VAN DE DIENST

6.1. Niet (tijdige) betaling facturen 

Bij gebreke aan tijdige betaling van de factuur van Maggie’s Melody, is van rechtswege en zonder voorafgaande ingebrekestelling een intrest van één procent (1%) per maand verschuldigd vanaf de vervaldag van de factuur tot de ontvangst van het volledige bedrag, waarbij elke begonnen maand als volledig verlopen wordt beschouwd. 

Daarnaast is eveneens van rechtswege en zonder ingebrekestelling een forfaitaire schadevergoeding van 10% op het factuurbedrag verschuldigd, met een minimum van vijftig euro (€ 50,00). Alle eventuele bijkomende invorderingskosten vallen eveneens ten laste van de klant. 

Bovendien kan Maggie’s Melody in geval van niet-betaling op de vervaldag al haar verplichtingen die voortvloeien uit de overeenkomst opschorten tot wanneer de schuld volledig aangezuiverd is en deze overeenkomst beëindigen, zonder dat zij hiervoor enige vergoeding verschuldigd kan zijn. 

De inschrijver zal de toegang tot de dienst ontzegd worden, ook in geval van gedeeltelijke betaling. 

Bovendien is de klant minstens de in artikel 4.1.2. overeengekomen vergoeding wegens eenzijdige verbreking van de overeenkomst verschuldigd.

De niet-betaling van een factuur op de vervaldag heeft de onmiddellijke opeisbaarheid van alle nog openstaande facturen van de klant tot gevolg. Betalingen na vervaldatum zullen in eerste instantie in mindering worden gebracht op rente en kosten en pas daarna op de hoofdsom.

6.2. Overige wanprestaties

Partijen zijn gerechtigd de overeenkomst met de klant onmiddellijk en zonder voorafgaande ingebrekestelling eenzijdig te verbreken in volgende gevallen:

• zware fout, herhaalde lichte fout of ernstige wanprestatie door de andere partij in de uitoefening van de overeenkomst; 

• indien een partij oneigenlijk gebruik maakt van de aangeboden diensten; 

• indien een partij in strijd handelt met de reputatie of belangen van de andere partij of in het algemeen met de goede zeden;

• indien een partij zich schuldig maakt aan oneerlijk, frauduleus of crimineel gedrag of verzuim, ongeacht of dit verband houdt met de uitvoering van deze overeenkomst;

• in geval van faillissement of insolvabiliteit of in het algemeen bij staking van betaling of aantasting van de kredietwaardigheid van de andere partij;

De eenzijdige beëindiging van de overeenkomst dienstverlening doet geen afbreuk aan het recht van de partij die de verbreking heeft gevorderd om van de andere partij een schadeloosstelling te vorderen voor alle schade die de betrokken fout of wanprestatie hem/haar heeft berokkend. 

 

ARTIKEL 7. KLACHTEN 

7.1. Termijn

De klant moet iedere tekortkoming in de uitvoering van de overeenkomst schriftelijk meedelen aan Maggie’s Melody binnen de achtenveertig (48) uren na de vaststelling ervan. Na verloop van deze termijn wordt de klacht als laattijdig geacht en worden de prestaties als aanvaard beschouwd.

Enkel een uitdrukkelijk gemotiveerd protest wordt in aanmerking genomen. Het louter betwisten zonder enige opgave van een reden is ongeldig en dus zonder gevolg.

7.2. Geen inhouding van de prijs

Klachten van welke aard ook, schorten de betalingsverplichtingen van de klant nimmer op. De klant is nooit gerechtigd enige inhouding op de prijs of een gedeelte van de prijs te doen, zelfs niet ten titel van waarborg, bij klachten of geschil.

 

ARTIKEL 8: AANSPRAKELIJHEID

8.1. Algemeen

Maggie’s Melody verbindt er zich toe alle te verstrekken diensten met zorg uit te voeren. De te leveren diensten en uitgevoerde prestaties zijn inspanningsverbintenissen. 

Maggie’s Melody is louter aansprakelijk voor de directe schade die het gevolg is van haar grove fout, opzet/bedrog of herhaalde nalatigheid of lichte fout. 

Maggie’s Melody stelt alles in het werk om op continue basis toegang te verlenen tot haar website (24/7). Gelet op de technische kenmerken van het internet en van de informaticamiddelen en gelet op de noodzaak om periodieke onderhouds-, update-, of upgradewerkzaamheden uit te voeren, kan een ononderbroken toegang en dienstverlening niet gegarandeerd worden. Dergelijke onderbrekingen en verstoringen zijn eigen aan de dienstverlening via internet en kunnen niet beschouwd worden als een tekortkoming in hoofde van Maggie’s Melody. Maggie’s Melody stelt alles in het werk om dit binnen een zo kort mogelijke termijn te verhelpen.

Maggie’s Melody voldoet aan alle wettelijke vereisten inzake verzekeringen.

8.2. Beperking 

Indien de aansprakelijkheid van Maggie’s Melody vaststaat, is deze te allen tijde beperkt tot het bedrag dat via haar aansprakelijkheidsverzekering wordt uitgekeerd. 

In ieder geval is de aansprakelijkheid beperkt tot bedrag van de dienstverlening (exclusief BTW), zoals vermeld in de overeenkomst waarin de aansprakelijkheidsstelling haar oorzaak vindt.

8.3. Uitsluiting

Maggie’s Melody zet zich hard in om de klant zang- en stemtechnieken bij te brengen, doch is niet verantwoordelijk voor het niet opvolgen door de klant van haar advies of het niet behalen van het door de klant gewenste resultaat. 

Maggie’s Melody kan niet aansprakelijk gehouden worden in geval van medische letsels die zouden kunnen ontstaan door het deelnemen van de klant aan de geleverde diensten.

Maggie’s Melody is niet aansprakelijk voor schade, van welke aard ook, ontstaan doordat zij is uitgegaan van door of namens de klant verstrekte onjuiste of onvolledige gegevens of input. 

Partijen erkennen uitdrukkelijk dat Maggie’s Melody niet aansprakelijk kan worden gehouden  voor enige indirecte of incidentele (gevolg)schade, waaronder mede begrepen winst- of inkomstenderving, verlies van klanten en contracten en immateriële schade. 

Maggie’s Melody is in geen geval aansprakelijk voor gebeurlijke ongevallen of diefstallen tijdens het verlenen van de diensten. 

Elke schade die een deelnemer aan een opleiding (al dan niet vrijwillig) aan het materiaal van Maggie’s Melody veroorzaakt, wordt aan de klant doorgerekend.

8.4. Overmacht

Maggie’s Melody kan niet aansprakelijk worden gesteld voor de tekortkomingen in de uitvoering van de overeenkomst die te wijten zijn aan overmacht. Dit omvat alle van buitenaf komende oorzaken, voorzien of niet-voorzien, waarop zij geen invloed kan uitoefenen, doch waardoor zij niet in staat is haar verplichtingen na te komen. 

Onder overmacht wordt onder meer, doch niet beperkend, verstaan: vertraging bij of wanprestatie door haar toeleveranciers, ziekte of invaliditeit van de lesgever of de co-coaches, onbruikbaarheid of problemen met betrekking tot de capaciteit van de locatie/zaal van de opleiding, faillissement van leveranciers/partners of gelijkaardige situaties, storingen in het internet, storingen in de elektriciteit, storingen in e-mail verkeer en storingen of wijzigingen in door derden geleverde technologie, vervoersmoeilijkheden, werkstakingen, overheidsmaatregelen, vertragingen in de aanvoer, nalatigheden van leveranciers en/of fabrikanten alsmede van hulppersonen, gebreken in hulp- of transportmiddelen, weers- en klimatologische omstandigheden, blikseminslag, overstroming, storm, oorlog, gezondheidscrisis, rellen, staking, lockdown, enzovoort.

Maggie’s Melody verbindt zich er evenwel toe de klant zo spoedig mogelijk te informeren over de waarschijnlijke duur en gevolgen. Gedurende deze periode van overmacht kan zij haar verplichtingen opschorten en een nieuwe datum meedelen aan de klant (op basis van haar beschikbaarheden) voor de levering van de diensten. De klant ziet uitdrukkelijk af van het vragen van enige schadevergoeding hiervoor. Het door de klant reeds betaalde bedrag wordt dan als een tegoed gekwalificeerd, voor een toekomstige reservatie binnen het jaar. 

Enkel wanneer een verdaging van de dienst absoluut onmogelijk is, zal Maggie’s Melody het reeds ontvangen bedrag terugbetalen, pro rata aan het reeds nog te leveren deel van de dienst. Indien Maggie’s Melody bij het intreden van de overmacht al gedeeltelijk aan haar verplichtingen had voldaan, is zij gerechtigd het bedrag dat overeenstemt met het reeds geleverde deel te behouden.  

 

ARTIKEL 9: INTELLECTUELE EIGENDOMSRECHTEN

Wanneer Maggie’s Melody het kader van de overeenkomst onder eender welke vorm een werk verricht dat als een creatieproces in de zin van de wetgeving op intellectuele eigendom beschouwd wordt, behoudt Maggie’s Melody de auteursrechten die voortvloeien uit dit werk, zoals bijvoorbeeld het recht op reproductie. 

De in het kader van de overeenkomst door Maggie’s Melody tot stand gebrachte originele creaties (niet limitatief: ontwerpen, logo’s, namen, foto’s, teksten, blogs, podcasts, cursussen, website, illustraties, afbeeldingen, video’s en dergelijke meer) blijven haar exclusieve eigendom, ongeacht of deze aan de klant ter hand zijn gesteld. Maggie’s Melody behoudt zich het auteursrecht voor op deze stukken. Deze mogen door de klant niet worden misbruikt, gekopieerd, openbaar worden gemaakt of aan derden worden verstrekt zonder voorafgaande toestemming van Maggie’s Melody.

De klant is aansprakelijk voor elk eventueel misbruik hiervan.

De klant vrijwaart Maggie’s Melody tegen alle aanspraken van derden die voortvloeien uit het gebruik van het geleverde of wegens beweerde inbreuk op eigendoms-, octrooi-, auteurs- of andere intellectuele eigendomsrechten in verband met de uitvoering van de overeenkomst. Deze vrijwaring blijft ook na de beëindiging van de overeenkomst van toepassing. 

 

ARTIKEL 10: VERBOD OP AFWERVING 

Het is de klant strikt verboden actief medewerkers of co-coaches van Maggie’s Melody te benaderen met het oog op vervolgopdrachten of afwerving. 

Deze bepaling blijft ook na de beëindiging van de overeenkomst voor een periode van één (1) jaar van kracht.

Elke inbreuk hierop geeft van rechtswege aanleiding tot een forfaitaire schadevergoeding aan Maggie’s Melody ten belope van tweeduizendvijfhonderd euro (€ 2.500,00) per vastgestelde inbreuk.

 

ARTIKEL 11: PRIVACY WETGEVING – VERWERKING VAN PERSOONSGEGEVENS

Voor zover in het kader van het uitvoeren van de opdracht persoonsgegevens worden verwerkt door Maggie’s Melody, zullen deze persoonsgegevens op een behoorlijke en zorgvuldige wijze worden verwerkt, overeenkomstig de bepalingen van de Europese Algemene Verordening Gegevensbescherming (AVG) (ook bekend als General Data Protection Regulation of ‘GDPR’) en overeenkomstig het uitgebreide Privacy Beleid van Maggie’s Melody.

Alle persoonsgegevens die door de Opdrachtgever worden verstrekt, worden uitsluitend gebruikt voor het verwezenlijken van de opdracht/dienst die de klant aan Maggie’s Melody heeft toevertrouwd. Door het aanvaarden van onderhavige voorwaarden geeft de Opdrachtgever toestemming tot deze persoonsgegevensverwerking. De Opdrachtgever kan ten alle tijden een verzoek om inzage, verbetering en verwijdering van haar persoonsgegevens indienen via het gebruikelijke mailadres van Maggie’s Melody.

Maggie’s Melody verbindt er zicht toe technische en organisatorische maatregelen te treffen om de persoonsgegevens te beschermen tegen verlies of enige andere vorm van onrechtmatige verwerking, daarbij rekening houdend met de stand van de techniek en de aard van de verwerking. Dit betreft een inspanningenverbintenis in hoofde van Maggie’s Melody. Niettegenstaande voormelde maatregelen en verregaande inspanningen door haar, kunnen haar beveiligingsbeleid, de controles die zij uitvoert en de acties die zij in dit kader voorstelt, geen onfeilbaar veiligheidsniveau garanderen of alle risico’s volledig uitsluiten. 

Maggie’s Melody verbindt er zich toe de persoonsgegevens enkel te zullen doorgeven aan verwerkers, ontvangers en/of derden voor zover dit noodzakelijk is in het kader van voormelde doeleinden voor de verwerking. Zij zal hiervoor de nodige waarborgen bieden.

Maggie’s Melody zal de persoonsgegevens niet langer bewaren dan noodzakelijk is voor de uitvoering van de tussen partijen afgesproken opdracht. 

De klant bevestigt verder kennis te hebben genomen van het Privacy- en Cookiebeleid van Maggie’s Melody  en de inhoud ervan te aanvaarden.

Indien de klant het niet eens is met de wijze waarop Maggie’s Melody de gegevens verwerkt kan de klant zich ook wenden tot de Commissie voor de bescherming van de persoonlijke levenssfeer te Brussel:

ARTIKEL 12. BEELDMATERIAAL - REFERENTIE 

De klant verklaart zich middels bevestiging van zijn inschrijving akkoord met het feit dat op de evenementen, zanglessen, bijeenkomsten edm. beelden, foto’s en video’s kunnen worden gemaakt, dewelke door Maggie’s Melody kunnen aangewend worden voor commerciële doeleinden. Deze kunnen verspreid worden via de website en/of verschillende sociale media kanalen van Maggie’s Melody. 

Gaat het om geïndividualiseerde beelden van de inschrijver, dan heeft deze steeds het recht om (i) deze beelden te raadplegen en (ii) zich te verzetten tegen het gebruik en de verspreiding ervan voor commerciële doeleinden. Maggie’s Melody zal – conform haar Privacybeleid - steeds voorafgaandelijk instemming vragen aan de klant met betrekking tot de aanwending van de beelden en van het geven van een interview omtrent zijn of haar ervaring van de dienst. De klant heeft steeds het recht die toestemming ten allen tijde in te trekken.

Maggie’s Melody heeft verder het recht om promotie te voeren over de samenwerking met de klant, tenzij wanneer de klant zich hiertegen verzet.  Op eenvoudig verzoek van de klant zal Maggie’s Melody de inhoud verwijderen.

 

ARTIKEL 13.  TOEPASSELIJK RECHT – BEVOEGDE RECHTBANK - BEWIJS

Partijen verbinden zich ertoe voldoende inspanningen te leveren om een minnelijke regeling te bewerkstelligen en het geschil in onderling overleg te beslechten. 

In het geval de minnelijke poging geen positieve uitkomst kent, zullen - bij betwisting in verband met de interpretatie, de uitvoering of de beëindiging  van de contractuele relatie tussen partijen - de hoven en rechtbanken van het gerechtelijk arrondissement bevoegd zijn, alwaar de zetel van Maggie’s Melody gevestigd is, tenzij de wet of het internationaal recht dwingend anders voorschrijft.

De overeenkomst wordt uitsluitend beheerst en geïnterpreteerd in overeenstemming met het recht van de gewone verblijfplaats van de dienstverlener, actueel het Belgische recht. 

De toepassing van het Weens Koopverdrag is uitgesloten.

De taal van de rechtspleging is de Nederlandse taal. 

De klant gaat ermee akkoord dat elke elektronische communicatie en back-up als bewijs kan worden gebruikt in rechte.

ALGEMEEN

Privacy is een grondrecht van ieder individu. Maggie’s Melody wil uw vertrouwde partner zijn en waakt erover dat uw persoonsgegevens maximaal beschermd worden. Zij stelt alles in het werk om deze gegevens met respect en op een correcte en transparante manier te verwerken, de privacy van ieder individu te waarborgen en misbruik van deze gegevens te voorkomen.

Desalniettemin heeft Maggie’s Melody voor het uitvoeren van haar opdrachten, alsook voor de werking van haar website, evenwel bepaalde gegevens van de klant/gebruiker nodig. In dit Privacybeleid wordt een overzicht gegeven van wat Maggie’s Melody met deze gegevens doet en de juridische gronden waarop dit gebaseerd is. Tevens worden de rechten opgesomd die u als betrokkene met betrekking tot de verwerking van uw persoonsgegevens kan laten gelden. 

Lees onderhavig Privacybeleid aandachtig door, want het bevat essentiële informatie over hoe uw persoonsgegevens verwerkt worden.

Door het verstrekken van uw persoonsgegevens aan Maggie’s Melody, verklaart u kennis te hebben genomen van dit Privacybeleid.  

Het Privacybeleid kan op ieder ogenblik worden herwerkt en geüpdatet teneinde aan de geldende privacywetgeving te blijven tegemoetkomen. 

ARTIKEL 1. WETTELIJK KADER 

Maggie’s Melody verwerkt de persoonsgegevens steeds in overeenstemming met de geldende Belgische en Europese privacy reglementering, waaronder:

• de Wet van 8 december 1992 tot bescherming van de persoonlijke levenssfeer ten opzichte van de verwerking van persoonsgegevens, evenals de wijzigingen aan deze wet;

• de anti-spambepalingen uit Boek XII van het ‘Wetboek Economisch Recht omtrent het recht van de elektronische economie;

• de Europese Verordening 2016/679 van 27 april 2016 betreffende de bescherming van natuurlijke personen in verband met de verwerking van persoonsgegevens en betreffende het vrije verkeer van die gegevens en tot intrekking van Richtlijn 95/46/EG’ (ook de ‘AVG’ of de ‘GDPR’ genoemd).

ARTIKEL 2. TOEPASSINGSGEBIED

Onderhavig Privacybeleid is van toepassing op de verwerking van ‘persoonsgegevens’ in het kader van de door Maggie’s Melody te verrichten werkzaamheden of te verlenen diensten waartoe de klant opdracht heeft gegeven. 

Het beleid is eveneens van toepassing op de website van Maggie’s Melody, evenals op alle andere (commerciële) relaties tussen Maggie’s Melody en haar klanten, opdrachtgevers, prospecten, zakenpartners, medewerkers en personeel.

Onderhavig Privacybeleid is niet van toepassing op de verwerking van andere dan de hierna vermelde persoonsgegevens. Het spreekt evenwel voor zich dat Maggie’s Melody zich in het algemeen tot een strikte geheimhouding houdt in de meest brede zin van het woord voor wat betreft de gegevens en informatie die door de klanten worden aangereikt.  

 

ARTIKEL 3. DEFINITIE

Voor de toepassing van dit Privacybeleid wordt onder ‘Persoonsgegevens’ verstaan: “Alle informatie over een geïdentificeerde of identificeerbare natuurlijke persoon.”

Als ‘identificeerbaar’ worden die gegevens beschouwd die ervoor zorgen dat een natuurlijke persoon direct of indirect kan worden geïdentificeerd. 

Dit betreffen onder meer:

• persoonlijke identificatiegegevens;

• contactgegevens;

• locatiegegevens;

• andere persoonlijke informatie zoals elementen die kenmerkend zijn voor de fysieke, fysiologische, genetische, psychische, medische, economische, culturele of sociale identiteit van de betrokken natuurlijke persoon.

ARTIKEL 4. VERZAMELING PERSOONSGEGEVENS

Maggie’s Melody kan uw persoonsgegevens op volgende manieren vergaren (niet-limitatieve opsomming):

• wanneer u deze zelf aanreikt aan haar: 

• bij het bezoek op haar website zonder enige vorm van registratie (via cookies);

• bij het invullen van contact- en inschrijvingsformulieren op de website of bij het inplannen van een afspraak/activiteit via een ander kanaal;

• in het algemeen bij alle inkomende en uitgaande correspondentie met Maggie’s Melody via diverse kanalen (online, elektronisch of per telefoon/gsm);

• bij het invullen of ondertekenen van (inschrijvings)formulieren, lidmaatschapsaanvragen en overeenkomsten die Maggie’s Melody u voorlegt in het kader van de uitvoering van of voorafgaandelijk aan de uitvoering van de overeenkomst/opdracht;

• in het algemeen om lid te worden van de verenging en bij het uitvoeren van de overeenkomst/opdracht voor de klant;

• voor het klantenbeheer en de facturatie;

 

• wanneer deze gegevens vrij raadpleegbaar zijn of verkregen kunnen worden via bronnen van informatie die publiekelijk toegankelijk zijn (zoals eigen website van de klant of profiel, de Kruispuntbank van Ondernemingen, Belgisch Staatsblad en dergelijke meer).

 

ARTIKEL 5:  WELKE PERSOONSGEGEVENS?

Maggie’s Melody verwerkt volgende persoonsgegevens die relevant zijn in de professionele context:

• Categorie 1: Identificatiegegevens:

• Voornaam;

• Achternaam;

• Eventueel: leeftijd;

• Eventueel: geslacht;

• Eventueel: geboorteplaats- en datum.

 

• Categorie 2:  Contact- en locatiegegevens:

• Adres: straat, huisnummer, eventueel busnummer, postcode, gemeente/stad, land;

• E-mailadres;

• Telefoonnummer en/of gsm-nummer;

 

• Categorie 3:  Elementen die kenmerkend zijn voor de fysieke en fysiologische identiteit van de betrokken natuurlijke persoon:

• Stemsoort;

• Afbeeldingen onder de vorm van foto’s en video’s van de klant (zie infra);

• Categorie 4: Financiële gegevens:

• Bankrekeningnummer voor betaling via overschrijving;

• Overige Bankkaartgegevens in het kader van online betaling;

• Categorie 5: Online gegevens:

• IP-adres, Internet browser en apparaat type;

• gegevens over uw activiteiten op de website van Maggie’s Melody (surfgedrag);

 

• Categorie 6: Overige gegevens:

• Ervaring- en/of vormingsniveau met betrekking tot het voorwerp van de opdracht;

ARTIKEL 6: DOELEINDEN EN RECHTSGRONDEN VAN DE VERWERKING

Maggie’s Melody verwerkt uw persoonsgegevens voor volgende (niet-limitatief opgesomde) doelen:

• Aanmaak lidmaatschap/aangaan overeenkomst;

• Klantenbeheer, personeelsbeheer en beheer van de leveranciers;

• Boekhouding;

• Afsluiten (verplichte) verzekeringen;

• Rapportering aan subsidiërende overheden;

• Agendaplanning;

• Communicatie met de klant/opdrachtgever/leverancier/personeel;

• Uitvoering van de overeenkomst/opdracht en/of levering van de diensten;

• Direct marketing: versturen van uitnodigingen en nieuwsbrieven over de diensten van Maggie’s Melody of voor evenementen (opleidingen, vormingen, optredens en andere activiteiten) aangeboden door Maggie’s Melody of overkoepelende organisaties; 

• Referentie en/of verslaggeving in (gedrukte of online)communicatiekanalen;

• Verbetering dienstverlening of dagelijkse werking;

• Analyse surfgedrag;

• Optimalisatie website en aanbod;

 

De toepasselijke wetgeving laat toe om persoonsgegevens van natuurlijke personen te verwerken met het oog op het vervullen van voormelde doeleinden, doch enkel op voorwaarde dat minstens één van volgende juridische verwerkingsgronden van toepassing is:

• ofwel uw toestemming: Maggie’s Melody kan om uw specifieke toestemming vragen om bepaalde persoonsgegevens te verwerken en zal dit dan ook enkel doen indien u daadwerkelijk uw toestemming heeft gegeven. Zo verzamelt en verwerkt zij bijvoorbeeld de gegevens die zij van u ontvangt wanneer u zich aanmeldt voor haar nieuwsbrief. Hiervoor geeft u uw expliciete toestemming. Hetzelfde geldt wanneer u instemt voor een gerichte foto, videomateriaal of geluidsopname met het oog op de verslaggeving ervan op de website of de overige social media kanalen. Uiteraard kan deze toestemming nadien steeds ingetrokken worden

Door zelf persoonsgegevens aan Maggie’s Melody aan te reiken, geeft u haar uw expliciete toestemming dat zij deze gegevens mag gebruiken in overeenstemming met onderhavig Privacybeleid;

Uitzondering: Maggie’s Melody verwerkt enkel gegevens van minderjarigen mits toestemming van de ouders en/of wettelijke voogd. Maggie’s Melody is evenwel gevrijwaard van elke aansprakelijkheid bij het niet naar waarheid doorgeven van de correcte leeftijd of een vervalsing op dit punt. Er bestaat dienaangaande geen verificatieplicht in haar hoofde.

 

• ofwel de noodzaak voor de uitvoering van de overeenkomst/opdracht en/of de levering van de diensten: dit is wanneer de verwerking van uw persoonsgegevens noodzakelijk is om de verplichtingen uit hoofde van een overeenkomst of de intentie om een overeenkomst aan te gaan, na te komen;

• ofwel wettelijke, reglementaire en/of deontologische verplichtingen of gewichtige redenen van algemeen belang: dit is wanneer Maggie’s Melody verplicht is uw persoonsgegevens te verwerken om aan een wettelijke verplichting te voldoen, zoals het bijhouden van gegevens voor (overheids)doeleinden of het verstrekken van informatie aan een wetgevingsinstantie (vb. voor de instelling, uitoefening of onderbouwing van een rechtsvordering);

• ofwel een gerechtvaardigd belang van de onderneming: Maggie’s Melody mag uw persoonsgegevens verwerken indien dit in haar legitiem belang is om een wettige activiteit te runnen of om deze activiteit te bevorderen;

 

ARTIKEL 7: DOORGIFTE AAN DERDEN

Maggie’s Melody zal uw persoonsgegevens in geen geval verkopen of commercieel ter beschikking stellen aan direct marketingbureaus of gelijkaardige dienstverleners (voor louter commerciële doeleinden), tenzij met uw voorafgaande toestemming. 

Maggie’s Melody is evenwel gerechtigd uw persoonsgegevens door te geven aan derde dienstverleners, die haar bijstaan bij haar dienstverlening, indien dit noodzakelijk is voor het uitvoeren van de opdracht, zoals onder meer doch niet beperkt, aan:

• de verzorgers van de internetomgeving en de IT-infrastructuur, te weten: IT-leveranciers, websitebeheerders, partners die dataopslag in de cloud beheren, mail en service providers, virtuele assistenten edm.;

• logistieke partners;

• sociaal secretariaat;

• verzekeraar;

Deze spelers krijgen toegang tot uw persoonsgegevens, maar alleen in de mate dat dit strikt noodzakelijk is om hun activiteiten uit te voeren. Zij mogen uw gegevens niet aanwenden voor andere doeleinden.  

Daarnaast kan Maggie’s Melody uw persoonlijke gegevens ook bekendmaken aan die entiteiten/personen die namens haar en/of voor haar rekening optreden (personeel, werknemers, aangestelden, zelfstandige medewerkers,…), doch enkel voor doeleinden van assistentie. Hetzelfde geldt voor de koepelorganisaties waarmee Maggie’s Melody samenwerkt, waaronder ‘Koor&Stem (provinciaal en nationaal)’. Maggie’s Melody staat er voor in dat eenzelfde niveau van beveiliging en vertrouwelijkheid van uw gegevens wordt gewaarborgd door deze personen, die eveneens onder het toepassingsgebied van dit Privacybeleid vallen.

In bepaalde situaties zal Maggie’s Melody ook genoodzaakt zijn persoonsgegevens openbaar te maken om te voldoen aan wettelijke verplichtingen of in het openbaar belang of om redenen van wetshandhaving. Dit kan onder meer:

• op verzoek van de overheidsdiensten;

• in reactie op dagvaardingen of in het kader van juridische procedures;

 

In het geval dat de activiteiten van Maggie’s Melody worden verkocht of samengevoegd met een ander bedrijf, kunnen uw persoonsgegevens worden bekendgemaakt aan de curator of de adviseur van een potentiële koper/overnemer en kunnen ze worden doorgegeven aan de nieuwe eigenaar(s) van het bedrijf. In dat geval neemt Maggie’s Melody evenwel de gepaste maatregelen om de integriteit en vertrouwelijkheid van uw persoonsgegevens te verzekeren.

Gaat het om doorgifte van uw persoonsgegevens aan derden die zich bevinden in landen buiten de Europese Economische Ruimte (EER), dan zal Maggie’s Melody dit maar rechtmatig doen indien de ontvanger van de gegevens zich bevindt in een land dat een passend beschermingsniveau biedt of indien de ontvanger lid is van een land waarvoor een adequaatheidsbesluit bestaat. Is dit niet het geval dan verbindt Maggie’s Melody zich ertoe nog bijkomende passende waarborgen te stellen. Gegevens zullen dan enkel doorgegeven worden nadat met deze partij een modelcontract (standard contractual clauses) vastgesteld door de Europese Comissie werd afgesloten of op basis van een gedragscode die voorafgaandelijk is goedgekeurd.

 

ARTIKEL 8: DUUR VAN DE VERWERKING

Maggie’s Melody zal uw persoonsgegevens niet langer bewaren dan de verplichte wettelijke termijn voorschrijft of - indien een dergelijke wettelijke termijn niet van toepassing is - niet langer dan strikt noodzakelijk is voor het realiseren van de doeleinden waarvoor uw persoonsgegevens zijn verzameld, doch nooit langer dan tien jaar na de dienstverlening.

Indien de verwerking van uw persoonsgegevens gebaseerd is op uw voorafgaande toestemming (zoals bijvoorbeeld voor marketing doeleinden), dan zullen deze gegevens bewaard worden zolang uw toestemming geldt.

 

ARTIKEL 9: UW RECHTEN

Recht van toegang en inzage

U heeft het recht om op elk moment gratis kennis te nemen van uw persoonsgegevens, alsook van het gebruik dat Maggie’s Melody van uw persoonsgegeven maakt.

Recht van verbetering, verwijdering en beperking

U heeft steeds het recht te verzoeken uw persoonsgegevens te verbeteren, aan te vullen of te verwijderen.  U mag eveneens vragen om de verwerking van uw persoonsgegevens te beperken.

U erkent evenwel dat bij weigering van mededeling of verzoek tot verwijdering van persoonsgegevens, bepaalde diensten niet leverbaar kunnen zijn.

Recht van verzet

U beschikt eveneens over een recht van verzet  tegen de verwerking van uw persoonsgegevens om ernstige en legitieme redenen.

Daarnaast heeft u steeds het recht om zich te verzetten tegen het gebruik van uw persoonsgegevens voor doeleinden van direct marketing (commerciële doeleinden). In dergelijk geval hoeft u zelf geen redenen op te geven.

Recht van vrije gegevensoverdracht

U beschikt over het recht om uw persoonsgegevens die door Maggie’s Melody verwerkt worden in gestructureerde, gangbare en machineleesbare vorm te verkrijgen en/of aan andere verantwoordelijken over te dragen.

Recht van intrekking van de toestemming

Voor zover de verwerking gebaseerd is op uw voorgaande toestemming, beschikt u steeds over het recht om die toestemming in te trekken.

Uitoefening van uw rechten

U kan uw rechten uitoefenen door Maggie’s Melody per mail of per brief te contacteren op bovenvermelde contactgegevens.

Maggie’s Melody houdt zich eraan binnen een redelijke termijn te reageren op uw verzoek.

ARTIKEL 10. BEVEILIGINGSMAATREGELEN EN AANSPRAKELIJKHEID

Maggie’s Melody stelt alles in het werk om uw gegevens te beschermen en om te voldoen aan de geldende wet- en regelgeving. Ze neemt daarom verschillende fysieke, administratieve, technische en organisatorische beveiligingsmaatregelen om uw gegevens te beschermen tegen eventuele vernietiging, verlies of wijziging. Naar haar best vermogen zorgt Maggie’s Melody ervoor dat de toegang tot uw persoonsgegevens enkel wordt verschaft aan personen voor wie dit noodzakelijk is. Personen die toegang tot de gegevens hebben, zijn verplicht deze gegevens geheim te houden. De medewerkers van Maggie’s Melody zijn geïnformeerd over het belang van onderhavig Privacybeleid. Zij hanteert een gebruikersnaam en wachtwoordbeleid op haar interne systemen. Gegevens op papier worden bewaard achter slot of in ruimten waar derden geen toegang tot hebben.

Dit betreft een inspanningenverbintenis in hoofde van Maggie’s Melody. Niettegenstaande voormelde maatregelen en verregaande inspanningen van Maggie’s Melody, kunnen haar beveiligingsbeleid, de controles die zij uitvoert en de acties die zij in dit kader voorstelt, geen onfeilbaar veiligheidsniveau garanderen. Aangezien geen enkele methode van verzending (al dan niet via internet), noch enige methode van elektronische opslag honderd procent veilig is, kan Maggie’s Melody in deze context geen absolute veiligheid garanderen en de risico’s volledig uitsluiten. 

Maggie’s Melody maakt zich evenwel sterk om onmiddellijk actie te ondernemen indien uit een controle zou blijken dat bepaalde aspecten van haar beleid of procedures niet zouden voldoen aan de geldende normen van een redelijk beleid.

These General Terms and Conditions apply in priority to every service provided by Maggie's Melody, regardless of the general terms and conditions of the service customer (hereinafter: “the Customer”). Together with an individual written agreement regarding the specific service (hereinafter: “the Service Agreement”), they determine the contractual relationship between the parties.

•  Acceptance

The Customer expressly declares to have taken note of these General Terms and Conditions, to have read and understood them and to accept them prior to the conclusion of the agreement between the parties.

The Customer further declares that the clauses in these general terms and conditions are not manifestly unbalanced and reflect the true will of the parties.

•  Change

Maggie's Melody reserves the right to unilaterally change or supplement these General Terms and Conditions at any time.

The amended conditions will then automatically apply to any subsequent agreement.

•  Invalidity clause

The invalidity of one or more clauses of these General Terms and Conditions does not affect the validity and enforceability of the remaining clauses. The other provisions therefore remain fully applicable.

The invalid provision will be replaced by a valid provision that comes as close as possible to the intention of the parties.

•  Distance

Failure at any time by Maggie's Melody to enforce any of the rights contained in these General Terms and Conditions, or to exercise any right thereof, will never be considered a waiver of such provisions and will never affect the validity of these rights. affect.

 

ARTICLE 2. ESTABLISHMENT OF AGREEMENT

2.1. Offer

All offers - both those included in the Services Agreement and those stated on the Maggie's Melody websites - contain a fully accurate description of the services offered and are sufficiently detailed to enable a proper assessment of the offer by Maggie's Melody.

However, Maggie's Melody cannot be held to its offers if the customer can reasonably understand that the offer, or part of it, contains an obvious mistake or typo or is not up to date.

2.2. Establishment of agreement

By completing the registration form (online) and/or signing the Service Agreement and execution of the requested payment, an agreement with Maggie's Melody is definitively and irrevocably concluded, regardless of any previous correspondence and regardless of any other conditions or documents of any kind from the customer.

The parties expressly agree that the registration and/or conclusion of the agreement can be done electronically (digitally), even in the absence of a signature.

 

ARTICLE 3. PRICE AND PAYMENT

3.1. Price

The total price for the selected service is clearly stated on the Service Agreement or on the registration form on the website.

All prices stated in the offers are expressed in euros, indicating VAT and any other levies imposed by the government.

In accordance with Article 57 of the Act of 30 March 1976 on economic recovery measures, Maggie's Melody is entitled to unilaterally revise the price if the costs of the service have been significantly increased due to circumstances beyond its control and/or due to circumstances beyond its control at the time of the conclusion of the contract. the agreement could not reasonably have been taken into account or should not have been taken into account. For example, Maggie's Melody may revise the price based on the following reasons:

• general price indexation;
• price increase from external partners or external suppliers;
• when other elements that determine the price, such as but not limited to: taxes, levies, devaluations, transport costs, labor costs and/or fuel costs, raw materials, energy and processing prices, are changed and cause a significant price increase.

3.2. Payment

Services ordered via the website( s ) are payable online using one of the following payment methods, depending on the service to be provided:

•  credit card (Visa or Mastercard);
•  bancontact;
•  IDeal;
•  Apple Pay;
•  Stripe;
• Paypal;
•  transfer.

Services ordered via the Services Agreement are payable according to the modalities contained in the Services Agreement. Invoices are - unless otherwise stated in the Agreement - payable within fourteen (14) days after the invoice date, stating the invoice number.

 

ARTICLE 4. CANCELLATION POLICY – BEFORE COMMENCEMENT OF SERVICE

4.1. Cancellation by the customer

Depending on the nature and modalities of the service chosen, the following cancellation conditions apply:

4.1.1. Online services – right of withdrawal/consumer reflection period:

Attention! This paragraph only applies to customers in their capacity as consumers (natural persons).

The consumer can terminate an agreement regarding the delivery of a distance service during a cooling-off period of fourteen (14) days without giving reasons and without paying a fine. dissolve . The aforementioned period starts from the completion of the registration form and subsequent payment , as a result of which the agreement is concluded.

If the customer wishes to exercise his/her right of withdrawal, he/she must report this unambiguously to Maggie's Melody within the aforementioned cooling-off period. Maggie's Melody will reimburse the payment made by the customer, without delay but within fourteen (14) days following the day on which the customer reported the withdrawal.

However, the aforementioned right of withdrawal does NOT apply:

•  if the service has already been performed before the expiry of the withdrawal period (e.g. by gaining immediate access to the online workshop or course) (in accordance with Article VI.53, 1° of the Code of Economic Law);
•  if it concerns a leisure service, for which a specific date or a specific implementation period is determined in the agreement (e.g.: reservation of tickets for a specific event, registration for an online singing workshop scheduled for a specific date (in accordance with Article VI.53, 12° of the Economic Law Code);
•  if it concerns tailor-made services at the request of the consumer (e.g. tailor-made singing lessons) (in accordance with Article 53, 3° of the Code of Economic Law);

 

4.1.2. General cancellation policy

If the provisions of paragraph 4.1.1. do not apply, the following general cancellation policy applies:

The customer has the right to cancel the registration for a specific service at any time. This must be done in writing. If the customer exercises this right, the agreement will be deemed to have been unilaterally terminated by him/her.

In the event of unilateral termination, the following cancellation fees are due automatically and without notice of default:

•  In case of cancellation more than fourteen (14) days before the date of commencement of the service : the compensation amounts to 25% of the amount payable under the agreement;
•  In case of cancellation less than fourteen (14) calendar days and more than forty-eight (48) hours before the date of the start of the service : the compensation amounts to 50% of the amount payable under the agreement;
•  In case of cancellation less than forty-eight (48) hours before the date of commencement of the service : the compensation amounts to the full amount (100%) of the amount payable under the agreement;
•  In case of cancellation of web-based products after receipt of the access link : the compensation amounts to the integral (100%) of the amount payable under the agreement.

The customer acknowledges that when determining the aforementioned compensation, the consequences of the cancellation for Maggie's Melody were taken into account (costs already incurred and efforts made) and that this compensation is therefore balanced with regard to the parties.

In the event of force majeure (illness or justified impediment) and if it concerns participation in an event/workshop, the parties can agree on the following in mutual consultation: the non-participant can cancel his or her participation once and exclusively in the event of force majeure, clearly demonstrable. to move an event/workshop to another date. Of course, this is only possible if the same service is offered again by Maggie's Melody. If this is not the case, the non-participant may pass on his/her registration for a specific event or workshop to another person, provided that he/she notifies Maggie's Melody at least twenty-four (24) hours in advance. Maggie's Melody is then entitled to charge an administrative fee, corresponding to 10% of the registration fee, with a minimum of 10 euros (€ 10.00).

4.2. Cancellation by Maggie's Melody

 

Maggie's Melody is entitled to postpone the execution period that was contractually provided for, without this giving rise to any right to compensation from the customer or without the customer being entitled to a refund of the price paid by him/her. The customer will thus be able to participate in the service organized by Maggie's Melody at a later date.

If - due to the nature of the service - a postponement is not possible, the amount already paid to Maggie's Melody will be fully refunded within fourteen (14) days, except in the event of force majeure.

 

ARTICLE 5. DELIVERY OF SERVICE

5.1. online services: online coaching and courses – membership of online community

For web-based products, the access link will only be made available after payment of the full amount under the agreement, unless payment in multiple installments is permitted by Maggie's Melody.

To become a member of the SI Community and/or purchase other services from Maggie's Melody, the member/customer must be at least 18 years old or have the permission of their legal guardian. The member/customer is prohibited from using someone else's identity. A registration is only valid if it is completed truthfully. It is not up to Maggie's Melody to verify this. Maggie's Melody is therefore indemnified from any liability in this regard.

This link for the coaching/course, even if it concerns different modules, is valid for at least one (1) year. The customer can thus follow this at a freely chosen time.

Maggie's Melody reserves the right to adjust the content or organizational content of the coaching/course if circumstances require this and Maggie's Melody deems this appropriate.

With regard to membership for the Siniging Insiders Community, this will only start and the membership fee will only be due as soon as the customer has actually been able to register for this. If upon registration it appears that the community is full, the customer will be placed on a waiting list. This implies that no agreement has yet been concluded at that time and therefore the parties cannot derive any rights and obligations from it.

5.2. other services (in physical presence):

Unless otherwise agreed, Maggie's Melody will only commence its services after receipt of the full amount under the agreement.

Maggie's Melody makes sufficient efforts to comply with the delivery times of the service agreed between the parties. It enters into an obligation of means to provide its services with care and expertise.

Maggie's Melody reserves the right to adjust the singing lesson in terms of content or organization if circumstances require this and Maggie's Melody deems this appropriate.

 

ARTICLE 6: CONTRACTUAL DEFECTS DURING THE EXECUTION OF THE SERVICE

6.1. Non-payment of invoices on time

In the absence of timely payment of the invoice from Maggie's Melody, interest of one percent (1%) per month is due by operation of law and without prior notice of default from the due date of the invoice until receipt of the full amount, with each month started as is considered fully expired.

In addition, a lump sum compensation of 10% of the invoice amount is also due automatically and without notice of default, with a minimum of fifty euros (€ 50.00). Any additional collection costs will also be borne by the customer.

Furthermore, in the event of non-payment on the due date, Maggie's Melody may suspend all its obligations arising from the agreement until the debt has been fully cleared and terminate this agreement, without being liable for any compensation.

The subscriber will be denied access to the service, even in the event of partial payment.

In addition, the customer is at least the in article 4.1.2. agreed compensation due due to unilateral termination of the agreement.

Non-payment of an invoice on the due date results in the immediate payment of all outstanding invoices of the customer. Payments made after the due date will initially be deducted from interest and costs and only then from the principal amount.

6.2. Other non-performance

The parties are entitled to unilaterally terminate the agreement with the customer immediately and without prior notice of default in the following cases:

•  serious error, repeated minor error or serious breach of contract by the other party in the performance of the agreement;
•  if a party makes improper use of the services offered;
•  if a party acts contrary to the reputation or interests of the other party or in general to good morals;
•  if either party engages in dishonest, fraudulent or criminal conduct or omission, whether or not in connection with the performance of this Agreement;
•  in the event of bankruptcy or insolvency or in general in the event of cessation of payments or damage to the creditworthiness of the other party;

The unilateral termination of the service agreement does not affect the right of the party that requested the termination to claim compensation from the other party for all damage that the error or breach of contract in question has caused him/her.

 

ARTICLE 7. COMPLAINTS

7.1. Term

The customer must notify Maggie's Melody in writing of any shortcoming in the execution of the agreement within forty-eight (48) hours after its discovery. After this period has expired, the complaint is deemed to be late and the services are considered accepted.

Only an expressly motivated protest will be taken into account. Merely contesting without giving any reason is invalid and therefore without consequence.

7.2. No deduction from the price

Complaints of any nature will never suspend the customer's payment obligations. The customer is never entitled to make any deduction from the price or part of the price, not even as a guarantee, in the event of complaints or dispute.

 

ARTICLE 8: LIABILITY

8.1. General

Maggie's Melody undertakes to provide all services with care. The services to be provided and the performances carried out are best efforts obligations.

Maggie's Melody is only liable for direct damage resulting from her gross error, intent/deception or repeated negligence or minor error. 

Maggie's Melody makes every effort to provide access to its website on a continuous basis (24/7). Given the technical characteristics of the Internet and IT resources and the need to carry out periodic maintenance, update or upgrade work, uninterrupted access and service cannot be guaranteed. Such interruptions and disruptions are inherent to the provision of services via the internet and cannot be regarded as a shortcoming on the part of Maggie's Melody. Maggie's Melody will make every effort to resolve this as quickly as possible.

Maggie's Melody meets all legal requirements regarding insurance.

8.2. Limit

If Maggie's Melody's liability is established, it is at all times limited to the amount paid out through its liability insurance.

In any case, liability is limited to the amount of the service (excluding VAT), as stated in the agreement in which the liability arises.

8.3. Exclusion

Maggie's Melody is committed to teaching the customer singing and voice techniques, but is not responsible for the customer not following her advice or not achieving the result desired by the customer.

Maggie's Melody cannot be held liable in the event of medical injuries that could arise from the customer's participation in the services provided.

Maggie's Melody is not liable for damage of any kind caused by relying on incorrect or incomplete data or input provided by or on behalf of the customer.

The parties expressly acknowledge that Maggie's Melody cannot be held liable for any indirect or incidental (consequential) damage, including loss of profit or income, loss of customers and contracts and immaterial damage.

Maggie's Melody is under no circumstances liable for any accidents or theft during the provision of the services.

Any damage that a participant in a training course (whether voluntarily or not) causes to Maggie's Melody material will be charged to the customer.

8.4. Force majeur

Maggie's Melody cannot be held liable for shortcomings in the execution of the agreement that are due to force majeure. This includes all external causes, foreseen or unforeseen, over which it has no influence, but which prevent it from fulfilling its obligations.

Force majeure includes, but is not limited to: delay or failure to perform by its suppliers, illness or disability of the teacher or co-coaches, unusability or problems with regard to the capacity of the location/room of the training, bankruptcy from suppliers/partners or similar situations, disruptions in the internet, disruptions in electricity, disruptions in e-mail traffic and disruptions or changes in technology supplied by third parties, transport difficulties, strikes, government measures, delays in supply, negligence of suppliers and/or or manufacturers as well as auxiliary persons, defects in auxiliary or transport equipment, weather and climatic conditions, lightning strike, flood, storm, war, health crisis, riots, strike, lockdown, etc.

However, Maggie's Melody undertakes to inform the customer as soon as possible about the likely duration and consequences. During this period of force majeure, it may suspend its obligations and communicate to the customer a new date (based on its availability) for the delivery of the services. The customer expressly waives the right to request any compensation for this. The amount already paid by the customer will then be qualified as a credit for a future reservation within the year.

Only if a postponement of the service is absolutely impossible, Maggie's Melody will refund the amount already received, pro rata to the part of the service still to be delivered. If Maggie's Melody had already partially fulfilled its obligations when the force majeure occurred, it is entitled to retain the amount corresponding to the part already delivered.

 

ARTICLE 9: INTELLECTUAL PROPERTY RIGHTS

If Maggie's Melody carries out a work in any form within the framework of the agreement that is considered a creation process within the meaning of intellectual property law, Maggie's Melody retains the copyrights arising from this work, such as the right to reproduction.

The original creations created by Maggie's Melody in the context of the agreement (not limited to: designs, logos, names, photos, texts, blogs, podcasts, courses, website, illustrations, images, videos and the like) remain its exclusive property. , regardless of whether they have been made available to the customer. Maggie's Melody reserves the copyright on these pieces. These may not be misused, copied, made public or provided to third parties by the customer without prior permission from Maggie's Melody.

The customer is liable for any misuse thereof.

The customer indemnifies Maggie's Melody against all claims from third parties arising from the use of the delivered goods or due to alleged infringement of ownership, patent, copyright or other intellectual property rights in connection with the execution of the agreement. This indemnity shall remain applicable even after termination of the agreement.

 

ARTICLE 10: PROHIBITION OF REJECTION

The customer is strictly prohibited from actively approaching employees or co-coaches of Maggie's Melody with a view to follow-up assignments or recruitment.

This provision will remain in effect even after termination of the agreement for a period of one (1) year.

Any infringement of this will automatically give rise to fixed compensation to Maggie's Melody in the amount of two thousand five hundred euros (€ 2,500.00) per established infringement.

 

ARTICLE 11: PRIVACY LEGISLATION – PROCESSING OF PERSONAL DATA

To the extent that personal data is processed by Maggie's Melody in the context of the execution of the assignment, these personal data will be processed in a proper and careful manner, in accordance with the provisions of the European General Data Protection Regulation (GDPR) (also known as the General Data Protection Regulation). or 'GDPR') and in accordance with the extensive Privacy Policy of Maggie's Melody.

All personal data provided by the Client will only be used to fulfill the assignment/service that the customer has entrusted to Maggie's Melody. By accepting these conditions, the Client gives permission for this personal data processing. The Client can at any time submit a request for access, correction and deletion of his personal data via the usual email address of Maggie's Melody.

Maggie's Melody undertakes to take technical and organizational measures to protect personal data against loss or any other form of unlawful processing, taking into account the state of the art and the nature of the processing. This concerns a best efforts obligation on behalf of Maggie's Melody. Notwithstanding the aforementioned measures and extensive efforts by it, its security policy, the controls it carries out and the actions it proposes in this context cannot guarantee an infallible level of security or completely eliminate all risks.

Maggie's Melody undertakes to only pass on personal data to processors, recipients and/or third parties to the extent this is necessary in the context of the aforementioned processing purposes. It will provide the necessary guarantees for this.

Maggie's Melody will not store personal data for longer than is necessary for the execution of the assignment agreed between the parties.

The customer further confirms that he has taken note of Maggie's Melody's Privacy and Cookie Policy and accepts its contents.

ARTICLE 12. IMAGES - REFERENCE

By confirming his registration, the customer agrees to the fact that at events, singing lessons, meetings, etc. images, photos and videos can be taken, which can be used by Maggie's Melody for commercial purposes. These can be distributed via the website and/or various social media channels of Maggie's Melody.

If it concerns individualized images of the subscriber, he or she always has the right to (i) consult these images and (ii) oppose their use and distribution for commercial purposes. Maggie's Melody will - in accordance with its Privacy Policy - always request prior consent from the customer with regard to the use of the images and to giving an interview about his or her experience of the service. The customer always has the right to withdraw that consent at any time.

ARTICLE 13. APPLICABLE LAW - COMPETENT COURT - EVIDENCE
